    1. Scope<\/h2>\n

    1.1<\/strong> These Affiliate Terms and Conditions (hereinafter referred to as “ATC”) of devowl.io GmbH (hereinafter referred to as “devowl.io”) apply to all business partners (hereinafter referred to as “Affiliates”) in the context of the partner program (also called “Affiliate Program”) of devowl.io.<\/p>\n

    1.2<\/strong> devowl.io only concludes affiliate program contracts with entrepreneurs within the meaning of \u00a7 14 BGB (German Civil Code). These must be entitled to deduct input tax or be able to prove their entrepreneurial status by means of an excerpt from the commercial register and\/or a trade license.<\/p>\n

    1.3<\/strong> Buyers of our products (hereinafter referred to as “end customer”) are natural and legal persons who have purchased a product from devowl.io on the website devowl.io.<\/p>\n

    1.4<\/strong> If the affiliate is an entrepreneur within the meaning of \u00a7 14 BGB (German Civil Code), the ATC shall also apply to future business relations with the affiliate without devowl.io having to refer to them again in each individual case.<\/p>\n

    1.5<\/strong> Terms and conditions deviating from these ATC shall not apply unless devowl.io has explicitly agreed to such deviating terms and conditions. Deviating terms and conditions must in any case be recorded in writing.<\/p>\n

    2. Conclusion of contract<\/h2>\n

    2.1<\/strong> The presentation of the affiliate program and the option to register for it does not constitute a legally binding offer by devowl.io to conclude a contract, but rather an invitation for the affiliate to submit a legally binding offer. By completing and submitting the registration form, the affiliate submits an offer. The information provided is automatically checked against public tax and company registers (e.g. EU VIES or MIAS or UID-Register@FSO). If the automatic check is positive, the affiliate will immediately be granted access to the affiliate program system, but this does not constitute acceptance of the offer. devowl.io may declare acceptance of the offer within fourteen days, beginning on the day after the affiliate has submitted the offer, by email or regular mail. The decisive point in time is when this declaration is received by the affiliate. If devowl.io does not accept the offer within the specified period, the offer shall be deemed rejected and the affiliate shall no longer be bound by the offer. If the automated check is positive, the affiliate is granted immediate provisional access to the affiliate program system. The contract is concluded only upon receipt of devowl.io\u2019s declaration of acceptance in text form.<\/p>\n

    2.2<\/strong> After completing registration and activation in the affiliate program system, the affiliate may at any time review and amend the contract data, including the means of payment to which commissions are to be paid. Any change to the contract data requires the explicit approval of devowl.io. Payment of the commission shall be suspended if the affiliate has instructed a change to the contract data and devowl.io has not yet decided whether to accept that change. The affiliate shall be informed by email by devowl.io whether the change is approved or rejected.<\/p>\n

    3. Subject matter of the contract<\/h2>\n

    3.1<\/strong> devowl.io develops and distributes software products and SaaS services, for example as a WordPress plugin, which can be purchased on the website devowl.io.<\/p>\n

    3.2<\/strong> As part of the affiliate program, the affiliate provides advertising services for devowl.io, which are remunerated on a commission basis.<\/p>\n

    3.3<\/strong> devowl.io and the affiliate are independent contracting parties. The use of the affiliate program does not create a joint venture, employer-employee or franchisor-franchisee relationship, or any similar relationship. The legal relationship between the affiliate and the end customer is completely independent of devowl.io.<\/p>\n

    4. Compensation for advertising efforts<\/h2>\n

    4.1<\/strong> Compensation for advertising efforts covers all successful and measured referrals (as defined in Section 5 of these ATC) of purchases by end customers. This applies to purchases of products and product plans that are publicly offered. No compensation shall be paid for individual offers.<\/p>\n

    4.2<\/strong> The affiliate may not advertise to himself or herself as an end customer.<\/p>\n

    4.3<\/strong> The amount of the commission shall be agreed individually as a percentage and recorded in text form (e.g. in a contract summary by email).<\/p>\n

    4.4<\/strong> The net order value (services invoiced to the end customer and paid by the end customer excluding value added tax) is used as the basis for calculating the absolute commission per transaction. In the case of term contracts, the commission is based on the net order value of the first contract term.<\/p>\n

    4.5<\/strong> devowl.io may, at its own discretion, grant end customers partial or full refunds (e.g. in the event of revocation, dissatisfaction or an order using coupons that were not recorded). The commission credited to the affiliate shall be reduced proportionally to the original basis used for calculating the commission.<\/p>\n

    4.6<\/strong> The basis for billing the commission is the data recorded by devowl.io within the affiliate program.<\/p>\n

    4.7<\/strong> Commissions shall be paid out on the 15th day of the month following the month in which they were allocated, to the means of payment stored by the affiliate on the relevant date. At the time of payment, all reductions in commissions allocated up to the relevant date shall also be taken into account. Reductions in commissions after payment has been made shall be offset against subsequent payouts.<\/p>\n

    4.8<\/strong> Payment of the commission shall only be made if at least EUR 20.00 or an individually agreed minimum amount can be paid out. Commissions not paid out shall be carried forward to the following month.<\/p>\n

    4.9<\/strong> Payout in EUR by SEPA bank transfer is free of charge. For payouts in other currencies and through other payment systems, the payout amount shall be reduced by the actual costs incurred for the transfer of funds.<\/p>\n

    5. Measurement of referrals<\/h2>\n

    5.1<\/strong> The affiliate must independently create affiliate links and affiliate coupons in the affiliate program system of devowl.io for the purpose of measuring referrals.<\/p>\n

    5.2<\/strong> Only referrals measured through the advertising material provided shall be remunerated. The submission of subsequent booking requests for referrals that were not remunerated is excluded unless the affiliate can prove that the measurement via the advertising material provided by devowl.io failed. Subsequent booking requests must be submitted within four weeks of the end customer\u2019s order.<\/p>\n

    5.3<\/strong> End customers who are redirected to devowl.io via an affiliate link are free, in accordance with the statutory provisions, to decide whether they consent to tracking by means of so-called cookies or cookie-like information. A cookie is text information that can be stored in the browser on the end customer\u2019s device. The end customer has the right to revoke any consent granted at any time, whereby the affiliate\u2019s entitlement to being referenced for future purchases expires.<\/p>\n

    5.4<\/strong> The affiliate shall be referenced for 14 days for the referral of a future purchase by an end customer if the end customer is redirected to the website devowl.io via an affiliate link and consents to the setting of affiliate cookies. If the end customer clicks on several affiliate links of different affiliates, the commission shall always be credited to the affiliate whose affiliate link was clicked last.<\/p>\n

    5.5<\/strong> The affiliate shall be referenced during the current session within a browser tab on the website devowl.io for a future purchase by an end customer (technically by means of GET parameters) if the end customer is redirected to devowl.io via an affiliate link and does not consent to the setting of affiliate cookies.<\/p>\n

    5.6<\/strong> If the end customer uses an affiliate coupon when purchasing a product, that affiliate shall be credited with the commission for the referral, unless another affiliate has already been referenced via the measurement methods described in 5.4 and 5.5.<\/p>\n

    5.7<\/strong> The measurement methods described in 5.4 and 5.5 shall not apply if the end customer started an order, then abandoned it, and was subsequently recovered through a cart abandonment email sent by devowl.io.<\/p>\n

    6. Obligations of the Affiliate and Granting of Rights<\/h2>\n

    6.1<\/strong> The affiliate is obliged to notify devowl.io without undue delay of any changes to address, legal form, tax status, the means of payment to which commissions are to be paid, or similar relevant information.<\/p>\n

    6.2<\/strong> Advertising measures of the affiliate for the products or brands of devowl.io must not violate applicable law (e.g. advertising with false promises). In particular, advertising materials must not infringe patents, copyrights, trademark rights or other rights of third parties.<\/p>\n

    6.3<\/strong> Under no circumstances may the affiliate actively create the impression vis-\u00e0-vis customers or other third parties that the affiliate is a manufacturer of products produced by devowl.io.<\/p>\n

    6.4<\/strong> The affiliate may not advertise products of devowl.io in the context of coupon sites, cashback and bonus systems, toolbars, browser plugins, forced-click advertising campaigns, illegal content\/gambling, political\/racist\/religiously motivated content or otherwise inhumane content.<\/p>\n

    6.5<\/strong> Unless otherwise agreed, the affiliate assures devowl.io that affiliate links will only be opened through a deliberate click by the end customer and that affiliate coupons will only be redeemed with the active and conscious participation of the end customer. The use of advertising formats such as iframes, pop-ups, pop-unders, layers or postview tracking, which are intended to reference the affiliate without the participation of the end customer in order to earn commissions, is permitted only with the prior written consent of devowl.io.<\/p>\n

    6.6<\/strong> devowl.io grants the affiliate a non-exclusive, territorially unrestricted, non-transferable right of use, limited to the term of the contract, to the advertising material provided, including product logos. This also includes screenshots and videos of the products that are provided by devowl.io or produced by the affiliate.<\/p>\n

    6.7<\/strong> devowl.io reserves the right to prohibit the affiliate from using the advertising material provided if advertising measures are likely to impair the legitimate interests of devowl.io.<\/p>\n

    6.8<\/strong> The affiliate is obliged to regularly update product attributes and advertising materials of advertised products. This applies in particular to the publication of new main versions (\u201cmajor release\u201d) of products of devowl.io.<\/p>\n

    7. Inspection and information<\/h2>\n

    7.1<\/strong> The Affiliate acknowledges that information provided within the scope of the Affiliate Program as well as data relating to End Customer orders may constitute confidential information, in particular business secrets within the meaning of the German Trade Secrets Act (GeschGehG) as well as personal data subject to data protection laws. The Affiliate has no right to inspect or obtain information about such confidential information from devowl.io.<\/p>\n

    7.2<\/strong> Claims for inspection or information regarding information that is not confidential information within the meaning of these ATC may, in exceptional cases and stating decisive reasons, be asserted only by a lawyer, tax advisor or auditor of the Affiliate. devowl.io may limit the information to anonymized or aggregated information insofar as this is necessary to safeguard legitimate interests, in particular data protection and business secrets.<\/p>\n

    8. Availability and maintenance<\/h2>\n

    8.1<\/strong> devowl.io provides the affiliate program system and the website devowl.io, through which end customers can order products and the affiliate can earn commissions. devowl.io does not guarantee uninterrupted access to them, but strives to achieve a minimum availability of 99.5%.<\/p>\n

    8.2<\/strong> Availability is calculated as the annual average value minus maintenance work announced in the affiliate program system with reasonable advance notice.<\/p>\n

    9. Duration, amendment and termination of the contract<\/h2>\n

    9.1<\/strong> This contract is concluded for an indefinite period and may be terminated by either party by email or regular mail with one month\u2019s notice.<\/p>\n

    9.2<\/strong> devowl.io is entitled to amend the ATC with a notice period of 30 days or, alternatively, with a reasonable notice period in accordance with legal obligations. The affiliate shall be informed of this by email. If the affiliate does not object within this period, the amended ATC shall be deemed agreed. If the affiliate objects to the amendment of the ATC within the specified period, devowl.io shall be entitled to terminate the contract extraordinarily upon expiry of that period.<\/p>\n

    9.3<\/strong> devowl.io is entitled to terminate the contract with the affiliate with seven days\u2019 notice and to close the affiliate\u2019s account if, within the last six months, the affiliate has had no claim to a payout pursuant to Section 4 of these ATC.<\/p>\n

    9.4<\/strong> Each contracting party reserves the right to extraordinary termination. devowl.io is entitled to extraordinary termination of the contract without notice and to deactivate the affiliate\u2019s account in the event of serious or repeated violations by the affiliate.<\/p>\n

    9.5<\/strong> In the event of termination of the contract, the affiliate is obliged to remove all advertising materials placed by the affiliate.<\/p>\n

    9.6<\/strong> In the event of termination, all outstanding commissions shall be paid to the affiliate with the next regular payment, regardless of their amount pursuant to 4.7 and 4.9, insofar as this is permissible under tax law.<\/p>\n

    10. Liability<\/h2>\n

    10.1<\/strong> devowl.io shall be liable without limitation insofar as the cause of damage is based on intent or gross negligence. devowl.io shall also be liable for slightly negligent breach of essential obligations (obligations whose breach jeopardizes the achievement of the purpose of the contract) and for the breach of cardinal obligations (obligations whose fulfillment is essential for the proper execution of the contract and on whose fulfillment the customer regularly relies), but in each case only for the foreseeable damage typical for the contract. devowl.io shall not be liable for the slightly negligent breach of other obligations.<\/p>\n

    10.2<\/strong> The limitation of liability under 10.1 shall also apply to the personal liability of employees, representatives, corporate bodies and comparable vicarious agents of devowl.io.<\/p>\n

    10.3<\/strong> devowl.io shall be indemnified by the Affiliate against all legal claims of third parties insofar as such claims are based on a culpable breach of duty by the Affiliate in connection with advertising placed or sent by the Affiliate. This also includes reasonable costs of legal defense. devowl.io will inform the Affiliate of such claims without undue delay and will enable the Affiliate to provide the required cooperation.<\/p>\n

    11. Final provisions<\/h2>\n

    11.1<\/strong> All legal relations between the parties shall be governed by the laws of the Federal Republic of Germany, excluding the laws on the international sale of movable goods.<\/p>\n

    11.2<\/strong> The exclusive place of jurisdiction for all disputes arising from this contract shall be the registered office of devowl.io. If the affiliate has its registered office outside the territory of the Federal Republic of Germany, the registered office of devowl.io shall be the exclusive place of jurisdiction for all disputes arising from this contract if the contract or claims arising from the contract can be attributed to the affiliate\u2019s professional or commercial activity. In the above cases, however, devowl.io shall in any case also be entitled to bring proceedings before the court at the affiliate\u2019s registered office.<\/p>\n

    11.3<\/strong> Side agreements, amendments or additions to the agreed contractual terms and conditions must be made in text form.<\/p>\n

    11.4<\/strong> Should individual provisions of these ATC be or become invalid in whole or in part, the validity of the remaining provisions shall remain unaffected. The statutory provisions shall replace the invalid provision.<\/p>\n

      1. Geltungsbereich<\/h2>\n

      1.1<\/strong> Diese Affiliate Gesch\u00e4ftsbedingungen (nachfolgend “AGB”) der devowl.io GmbH (nachfolgend “devowl.io”), gelten f\u00fcr alle Gesch\u00e4ftspartner (nachfolgend “Affiliates”) im Kontext des Partnerprogramms (auch genannt “Affiliate-Programm”) von devowl.io.<\/p>\n

      1.2<\/strong> devowl.io schlie\u00dft nur Affiliate-Programm-Vertr\u00e4ge mit Unternehmern im Sinne von \u00a7 14 BGB. Diese m\u00fcssen nachweislich vorsteuerabzugsberechtigt sein oder durch einen Handelsregisterauszug und\/oder Gewerbeschein deren Unternehmereigenschaft nachweisen k\u00f6nnen.<\/p>\n

      1.3<\/strong> K\u00e4ufer von unseren Produkten (im Folgenden “Endkunde”) sind nat\u00fcrliche und juristische Personen, die auf der Website devowl.io ein Produkt von devowl.io k\u00e4uflich erworben haben.<\/p>\n

      1.4<\/strong> Ist der Affiliate ein Unternehmer im Sinne von \u00a7 14 BGB, gelten die AGB auf f\u00fcr k\u00fcnftige Gesch\u00e4ftsbeziehungen mit dem Affiliate, ohne dass devowl.io in jedem Einzelfall wieder darauf hinweisen muss.<\/p>\n

      1.5<\/strong> Von den AGB abweichende Gesch\u00e4ftsbedingungen finden keine Anwendung, es sei denn, devowl.io hat den abweichenden Gesch\u00e4ftsbedingungen explizit zugestimmt. Abweichende Gesch\u00e4ftsbedingungen sind in jedem Fall schriftlich festzuhalten.<\/p>\n

      2. Vertragsschluss<\/h2>\n

      2.1<\/strong> Die Darstellung des Affiliate-Programms und dessen M\u00f6glichkeit zur Registrierung stellt kein rechtlich bindendes Angebot von devowl.io zum Schluss eines Vertrages dar, sondern eine Aufforderung zur Abgabe eines rechtlich bindenden Angebots durch den Affiliate. Durch das Ausf\u00fcllen und Absenden des Registrierungsformulars gibt der Affiliate ein Angebot ab. Die Angaben werden automatisch durch \u00f6ffentliche Steuer- und Unternehmensregister (z.B. EU VIES bzw. MIAS oder UID-Register@FSO) gepr\u00fcft. Bei positiver automatischer Pr\u00fcfung erh\u00e4lt der Affiliate unverz\u00fcglich Zugriff auf das Affiliate-Programm-System, was jedoch keine Annahme des Angebots darstellt. devowl.io kann die Annahme des Angebots innerhalb von vierzehn Tagen, beginnend ab dem Tag, nach dem der Affiliate sein Angebot abgeben hat, per E-Mail oder Post erkl\u00e4ren. Ma\u00dfgeblich ist dabei der Zeitpunkt, in dem diese Erkl\u00e4rung dem Affiliate zugeht. Nimmt devowl.io das Angebot nicht innerhalb der angegebenen Frist an, so gilt das Angebot als abgelehnt und der Affiliate ist nicht mehr an das Angebot gebunden. Bei positiver automatischer Pr\u00fcfung erh\u00e4lt der Affiliate unverz\u00fcglich vorl\u00e4ufigen Zugriff auf das Affiliate-Programm-System. Der Vertrag kommt erst mit Zugang der Annahmeerkl\u00e4rung von devowl.io in Textform zustande.<\/p>\n

      2.2<\/strong> Der Affiliate kann jederzeit nach Abschluss der Registrierung und Freischaltung im Affiliate-Programm-System seine Angaben zu den Vertragsdaten einschlie\u00dflich Zahlungsmittel, an welche Provisionen ausbezahlt werden, \u00fcberpr\u00fcfen und \u00e4ndern. Eine \u00c4nderung der Vertragsdaten hat zur Folge, dass devowl.io diesen explizit zustimmen muss. Die Auszahlung der Verg\u00fctung wird ausgesetzt, wenn der Affiliate eine \u00c4nderung der Vertragsdaten angewiesen und devowl.io \u00fcber die Annahme dieser \u00c4nderung noch nicht entschieden hat. Der Affiliate wird \u00fcber die Zustimmung oder Ablehnung per E-Mail durch devowl.io informiert.<\/p>\n

      3. Vertragsgegenstand<\/h2>\n

      3.1<\/strong> devowl.io entwickelt und vertreibt Software-Produkte und SaaS-Leistungen, z.B. als WordPress-Plugin, welche \u00fcber die Website devowl.io k\u00e4uflich erworben werden k\u00f6nnen.<\/p>\n

      3.2<\/strong> Der Affiliate erbringt im Rahmen des Affiliate-Programms Werbedienstleistungen f\u00fcr devowl.io, welche auf Provisionsbasis verg\u00fctet werden.<\/p>\n

      3.3<\/strong> devowl.io und der Affiliate sind unabh\u00e4ngige Vertragspartner. Durch die Nutzung des Affiliate-Programms wird kein Joint-Venture und keine Arbeitgeber-, Arbeitnehmer- oder Franchisegeber-, Franchisenehmerbeziehung oder \u00c4hnliches begr\u00fcndet. Die Rechtsbeziehung zwischen Affiliate und Endkunde ist vollkommen unabh\u00e4ngig von devowl.io.<\/p>\n

      4. Verg\u00fctung von Werbema\u00dfnahmen<\/h2>\n

      4.1<\/strong> Die Verg\u00fctung von Werbema\u00dfnahmen umfasst alle erfolgreichen und gemessenen Vermittlungen (definiert in Abschnitt 5. dieser AGB) von K\u00e4ufen durch Endkunden. Das gilt f\u00fcr K\u00e4ufe von Produkten und Produkt-Tarifen, die \u00f6ffentlich angeboten werden. Es gibt keine Verg\u00fctung f\u00fcr individuelle Angebote.<\/p>\n

      4.2<\/strong> Der Affiliate darf sich nicht selbst als Endkunde werben.<\/p>\n

      4.3<\/strong> Die H\u00f6he der Provision wird individuell in Prozent vereinbart und in Text-Form festgehalten (z.B. in einer Vertragszusammenfassung per E-Mail).<\/p>\n

      4.4<\/strong> Als Bezugsgr\u00f6\u00dfe zur Berechnung der absoluten Provision pro Transaktion wird der Netto-Bestellwert (gegen\u00fcber dem Endkunden abgerechnete und vom Endkunden bezahlte Leistungen ohne Umsatzsteuer) herangezogen. Bei Laufzeitvertr\u00e4gen bezieht sich die Provision auf den Netto-Bestellwert der ersten Vertragslaufzeit.<\/p>\n

      4.5<\/strong> devowl.io darf nach eigenem Ermessen Endkunden teilweise oder vollst\u00e4ndige R\u00fcckerstattungen erteilen (z.B. bei Widerruf, Unzufriedenheit oder bei der Bestellung mit nicht erfassten Gutscheinen). Die dem Affiliate gutgeschriebene Provision wird proportional zur urspr\u00fcnglichen Bezugsgr\u00f6\u00dfe zur Berechnung der Provision gek\u00fcrzt.<\/p>\n

      4.6<\/strong> Grundlage f\u00fcr die Abrechnung der Verg\u00fctung sind die von devowl.io im Rahmen des Affiliate-Programms aufgezeichneten Daten.<\/p>\n

      4.7<\/strong> Verg\u00fctungen werden am 15. des Monats, nachdem sie zugerechnet wurden, an das von dem Affiliate zum Stichtag hinterlegten Zahlungsmittel ausbezahlt. Bei der Auszahlung werden zudem alle bis zum Stichtag zugerechneten K\u00fcrzungen der Provisionen ber\u00fccksichtigt. K\u00fcrzungen der Provisionen nach der Auszahlung der Provisionen werden auf die nachfolgende Auszahlungen angerechnet.<\/p>\n

      4.8<\/strong> Die Auszahlung der Verg\u00fctung erfolgt nur, wenn mind. 20,00 EUR oder ein individuell vereinbarter Mindestbetrag ausbezahlt werden kann. Nicht ausbezahlte Verg\u00fctungen werden auf den Folgemonat angerechnet.<\/p>\n

      4.9<\/strong> Die Auszahlung in EUR als SEPA-\u00dcberweisung erfolgt kostenlos. F\u00fcr Auszahlungen in andere W\u00e4hrungen und andere Zahlungssystem wird der Auszahlungsbetrag um die tats\u00e4chlich anfallenden Kosten des Geldverkehrs gek\u00fcrzt.<\/p>\n

      5. Messung von Vermittlungen<\/h2>\n

      5.1<\/strong> Der Affiliate muss im Affiliate-Programm-System von devowl.io eigenst\u00e4ndig Affiliate-Links und Affiliate-Gutscheine zur Messung von Vermittlungen anlegen.<\/p>\n

      5.2<\/strong> Es werden nur durch bereitgestellte Werbemittel gemessene Vermittlungen verg\u00fctet. Die Stellung von Nachbuchungsanfragen f\u00fcr nicht verg\u00fctete Vermittlungen ist ausgeschlossen, es sei denn, der Affiliate kann nachweisen, dass die Messung \u00fcber bereitgestellte Werbemittel seitens devowl.io ausgefallen ist. Nachbuchungsanfragen m\u00fcssen innerhalb von vier Wochen nach der Bestellung des Endkunden gestellt werden.<\/p>\n

      5.3<\/strong> Endkunden, die \u00fcber einen Affiliate-Link auf devowl.io geleitet werden, steht es gem\u00e4\u00df der gesetzlichen Vorschriften frei, ob sie dem Tracking mithilfe von sogenannten Cookies oder Cookie-\u00e4hnlichen Informationen zustimmen. Ein Cookie ist eine Textinformation, die im Browser auf dem Endger\u00e4t des Endkunden gespeichert werden kann. Der Endkunde hat das Recht, erteilte Einwilligungen jederzeit zu widerrufen, womit der Anspruch des Affiliates auf eine Referenzierung f\u00fcr zuk\u00fcnftige K\u00e4ufe erlischt.<\/p>\n

      5.4<\/strong> Der Affiliate wird 14 Tage lang f\u00fcr die Vermittlung eines zuk\u00fcnftigen Kaufs von einem Endkunden referenziert, wenn der Endkunde \u00fcber einen Affiliate-Link auf die Website devowl.io geleitet wird und in das Setzen von Affiliate-Cookies einwilligt. Klickt der Endkunde auf mehrere Affiliate-Links verschiedener Affiliates, so wird die Provision immer dem Affiliate gutgeschrieben, dessen Affiliate-Link zuletzt geklickt wurde.<\/p>\n

      5.5<\/strong> Der Affiliate wird w\u00e4hrend der laufenden Session innerhalb eines Browser-Tabs auf der Website devowl.io f\u00fcr einen zuk\u00fcnftigen Kauf von einem Endkunden referenziert (technisch mithilfe von GET-Parametern), wenn der Endkunde \u00fcber einen Affiliate-Link auf devowl.io geleitet wird und nicht in das Setzen von Affiliate-Cookies einwilligt.<\/p>\n

      5.6<\/strong> Verwendet der Endkunde beim Kauf eines Produktes einen Affiliate-Gutschein, so wird diesem Affiliate die Provision f\u00fcr die Vermittlung gutgeschrieben, au\u00dfer wenn ein anderer Affiliate \u00fcber die in 5.4 und 5.5 beschriebenen Messmethoden bereits referenziert wurde.<\/p>\n

      5.7<\/strong> Die in 5.4 und 5.5 beschriebenen Messmethoden finden keine Anwendung, wenn der Endkunde eine Bestellung begonnen, dann abgebrochen und anschlie\u00dfend \u00fcber ein Warenkorbabbruch-E-Mail versendet durch devowl.io zur\u00fcckgewonnen werden konnte.<\/p>\n

      6. Pflichten des Affiliates und Rechtseinr\u00e4umung<\/h2>\n

      6.1<\/strong> Der Affiliate ist dazu verpflichtet, \u00c4nderungen zur Anschrift, Rechtsform, steuerlicher Veranlagung, des Zahlungsmittels \u2013 auf welches Verg\u00fctungen ausbezahlt werden sollten \u2013 oder \u00e4hnlicher relevanter Angaben gegen\u00fcber devowl.io unverz\u00fcglich anzuzeigen.<\/p>\n

      6.2<\/strong> Werbema\u00dfnahmen des Affiliates f\u00fcr die Produkte oder Marken von devowl.io d\u00fcrfen nicht gegen geltendes Rechts versto\u00dfen (z.B. mit falschen Versprechen werben). Insbesondere d\u00fcrfen Werbemittel nicht gegen Patent-, Urheber-, Markenrechte oder sonstige Rechte Dritter versto\u00dfen.<\/p>\n

      6.3<\/strong> Der Affiliate darf in keinem Fall gegen\u00fcber Kunden oder anderen Dritten aktiv den Anschein erwecken, dass er ein Hersteller der Produkte von devowl.io sei.<\/p>\n

      6.4<\/strong> Der Affiliate darf nicht im Kontext von Gutscheinseiten, Cashback- und Bonussystemen, Toolbars, Browser-Plugins, Forced-Click-Werbekampagnen, illegalen Inhalten\/Gl\u00fccksspielen, politischen\/rassistischen\/religi\u00f6s motivierten oder anderweitig sittenwidrigen Inhalten f\u00fcr Produkte von devowl.io werben.<\/p>\n

      6.5<\/strong> Der Affiliate sichert devowl.io zu, falls nicht anders vereinbart, dass Affiliate-Links nur durch einen bewussten Klick des Endkunden ge\u00f6ffnet und Affiliate-Gutscheine nur unter aktiver und bewusster Mitwirkung des Endkunden eingel\u00f6st werden. Die Nutzung von Werbeformen wie Iframes, Pop-ups, Pop-unders, Layern oder Postview-Tracking, welche das Ziel haben, den Affiliate ohne die Mitwirkung des Endkunden zum Erlangen von Provisionen zu referenzieren, ist nur mit vorheriger schriftlicher Zustimmung von devowl.io gestattet.<\/p>\n

      6.6<\/strong> devowl.io r\u00e4umt dem Affiliate an den zur Verf\u00fcgung gestellten Werbemitteln, einschlie\u00dflich Produkt-Logos, ein einfaches, r\u00e4umlich unbeschr\u00e4nktes, nicht \u00fcbertragbares und auf die Laufzeit des Vertrages befristetes Nutzungsrecht ein. Dies umfasst auch Screenshots und Videos der Produkte, welche von devowl.io zur Verf\u00fcgung gestellt oder vom Affiliate angefertigt werden.<\/p>\n

      6.7<\/strong> devowl.io beh\u00e4lt sich vor, dem Partner die Verwendung der zur Verf\u00fcgung gestellten Werbemittel zu untersagen, falls Werbema\u00dfnahmen dazu geeignet sind, die berechtigten Interessen von devowl.io zu gef\u00e4hrden.<\/p>\n

      6.8<\/strong> Der Affiliate ist dazu verpflichtet Produktmerkmale und Werbemittel beworbener Produkte regelm\u00e4\u00dfig zu aktualisieren. Dies gilt insbesondere bei der Ver\u00f6ffentlichung neuer Hauptversionen (sogenanntes “major release”) von Produkten von devowl.io.<\/p>\n

      7. Einsicht und Auskunft<\/h2>\n

      7.1<\/strong> Der Affiliate erkennt an, dass es sich sowohl bei den im Rahmen des Affiliate-Programms zur Verf\u00fcgung gestellten Informationen als auch bei Daten zu Bestellungen der Endkunden um vertrauliche Informationen handeln kann, insbesondere um Gesch\u00e4ftsgeheimnisse im Sinne des GeschGehG sowie um personenbezogene Daten, die den Datenschutzrechtlichen Vorgaben unterliegen. Der Affiliate hat keinerlei Anspruch auf Einsicht oder Auskunft \u00fcber solche vertraulichen Informationen bei devowl.io.<\/p>\n

      7.2<\/strong> Anspr\u00fcche auf Einsicht oder Auskunft zu Informationen, welche keine vertraulichen Informationen im Sinne dieser AGB sind, k\u00f6nnen in Ausnahmef\u00e4llen unter Angabe ausschlaggebender Gr\u00fcnde nur durch einen Rechtsanwalt, Steuerberater oder Wirtschaftspr\u00fcfer des Affiliates geltend gemacht werden. devowl.io kann die Auskunft auf anonymisierte oder aggregierte Informationen beschr\u00e4nken, soweit dies zur Wahrung berechtigter Interessen, insbesondere des Datenschutzes und von Gesch\u00e4ftsgeheimnissen, erforderlich ist.<\/p>\n

      8. Verf\u00fcgbarkeit und Wartungsarbeiten<\/h2>\n

      8.1<\/strong> devowl.io stellt das Affiliate-Programm-System und die Website devowl.io, \u00fcber die Endkunden Produkte bestellen und der Affiliate Provisionen verdienen kann, zur Verf\u00fcgung. devowl.io garantiert nicht f\u00fcr einen dauerhaften Zugriff zum Affiliate-Programm-System und der Website devowl.io, strebt allerdings eine Mindestverf\u00fcgbarkeit von 99,5 % an.<\/p>\n

      8.2<\/strong> Die Verf\u00fcgbarkeit berechnet sich durch den Jahresmittelwert abz\u00fcglich im Partnerprogramm-System mit angemessener Vorlaufzeit angek\u00fcndigte Wartungsarbeiten.<\/p>\n

      9. Laufzeit, \u00c4nderung und Beendigung des Vertrages<\/h2>\n

      9.1<\/strong> Dieser Vertrag wird auf unbestimmte Zeit abgeschlossen und kann durch jeden Vertragspartner per E-Mail oder Brief mit einer Frist von einem Monat gek\u00fcndigt werden.<\/p>\n

      9.2<\/strong> devowl.io ist berechtigt, diese AGB mit einer Frist von 30 Tagen oder ersatzweise mit einer angemessenen Frist gem\u00e4\u00df gesetzlicher Pflichten anzupassen. Der Affiliate wird dar\u00fcber per E-Mail unterrichtet. Erfolgt innerhalb dieser Frist kein Widerspruch des Affiliates, so gelten die ge\u00e4nderten AGB als vereinbart. Widerspricht der Partner der \u00c4nderung der Partnerbedingungen innerhalb der Frist, so ist devowl.io berechtigt, den Vertrag zum Fristablauf au\u00dferordentlich zu k\u00fcndigen.<\/p>\n

      9.3<\/strong> devowl.io ist berechtigt, den Vertrag mit dem Affiliate mit einer Frist von sieben Tagen zu k\u00fcndigen und den Account des Affiliates im Rahmen des Affiliate-Programm-Systems zu schlie\u00dfen, wenn dieser innerhalb der letzten sechs Monate keinen Anspruch auf eine Auszahlung gem\u00e4\u00df 4. dieser AGB hatte.<\/p>\n

      9.4<\/strong> Das Recht auf eine au\u00dferordentliche K\u00fcndigung bleibt jedem Vertragspartner vorbehalten. devowl.io ist berechtigt, bei schwerwiegenden oder nachhaltigen Verst\u00f6\u00dfen des Affiliates den Vertrag au\u00dferordentlich ohne Einhaltung einer Frist zu k\u00fcndigen und den Account des Affiliates zu deaktivieren.<\/p>\n

      9.5<\/strong> Bei der K\u00fcndigung des Vertrages ist der Affiliate dazu verpflichtet, alle von ihm platzierten Werbemittel zu entfernen.<\/p>\n

      9.6<\/strong> Bei einer K\u00fcndigung werden, soweit steuerrechtlich zul\u00e4ssig, alle ausstehenden Provisionen unabh\u00e4ngig von dessen H\u00f6he mit der n\u00e4chsten turnusm\u00e4\u00dfiges Auszahlung gem\u00e4\u00df 4.7 und 4.9. an den Affiliate ausbezahlt.<\/p>\n

      10. Haftung<\/h2>\n

      10.1<\/strong> devowl.io haftet unbeschr\u00e4nkt, soweit die Schadensursache auf Vorsatz oder grober Fahrl\u00e4ssigkeit beruht. devowl.io haftet auch f\u00fcr die leicht fahrl\u00e4ssige Verletzung von wesentlichen Pflichten (Pflichten, deren Verletzung die Erreichung des Vertragszwecks gef\u00e4hrden) und f\u00fcr die Verletzung von Kardinalpflichten (Pflichten, deren Erf\u00fcllung die ordnungsgem\u00e4\u00dfe Durchf\u00fchrung des Vertrages \u00fcberhaupt erst erm\u00f6glichen und auf deren Einhaltung der Auftraggeber regelm\u00e4\u00dfig vertraut), jedoch jeweils nur f\u00fcr den vorhersehbaren, vertragstypischen Schaden. F\u00fcr die leicht fahrl\u00e4ssige Verletzung anderer Pflichten haftet devowl.io nicht.<\/p>\n

      10.2<\/strong> Die Haftungsbeschr\u00e4nkung aus 10.1. gilt auch f\u00fcr die pers\u00f6nliche Haftung der Mitarbeiter, Vertreter, Organe und vergleichbare Erf\u00fcllungsgehilfen von devowl.io.<\/p>\n

      10.3<\/strong> devowl.io wird vom Affiliate von allen rechtlichen Anspr\u00fcchen Dritter freigestellt, soweit diese Anspr\u00fcche auf einer schuldhaften Pflichtverletzung des Affiliates im Zusammenhang mit der durch den Affiliate platzierten oder versendeten Werbung beruhen. Dies umfasst auch die angemessenen Kosten der Rechtsverteidigung. devowl.io wird den Affiliate \u00fcber entsprechende Anspr\u00fcche unverz\u00fcglich informieren und dem Affiliate die erforderliche Mitwirkung erm\u00f6glichen.<\/p>\n

      11. Schlussbestimmungen<\/h2>\n

      11.1<\/strong> F\u00fcr s\u00e4mtliche Rechtsbeziehungen der Parteien gilt das Recht der Bundesrepublik Deutschland unter Ausschluss der Gesetze \u00fcber den internationalen Kauf beweglicher Waren.<\/p>\n

      11.2<\/strong> Der ausschlie\u00dfliche Gerichtsstand f\u00fcr alle Streitigkeiten aus diesem Vertrag ist der Gesch\u00e4ftssitz von devowl.io. Hat der Affiliate seinen Sitz au\u00dferhalb des Hoheitsgebiets der Bundesrepublik Deutschland, so ist der Gesch\u00e4ftssitz von devowl.io ausschlie\u00dflicher Gerichtsstand f\u00fcr alle Streitigkeiten aus diesem Vertrag, wenn der Vertrag oder Anspr\u00fcche aus dem Vertrag der beruflichen oder gewerblichen T\u00e4tigkeit des Affiliates zugerechnet werden k\u00f6nnen. devowl.io ist in den vorstehenden F\u00e4llen jedoch in jedem Fall berechtigt, das Gericht am Sitz des Affiliates anzurufen.<\/p>\n

      11.3<\/strong> Nebenabreden, \u00c4nderungen oder Erg\u00e4nzungen der vereinbarten Vertragsbedingungen bed\u00fcrfen der Textform.<\/p>\n

      11.4<\/strong> Sollten einzelne Bestimmungen dieser Bedingungen ganz oder teilweise unwirksam sein oder werden, bleibt die Wirksamkeit der \u00fcbrigen Bestimmungen unber\u00fchrt. An die Stelle der unwirksamen Bestimmung treten die gesetzlichen Vorschriften.<\/p>\n
